1. About CE.D Global

These Terms & Conditions ("Terms") govern your use of the CE.D Global website at ced-global.com and any related services ("Website and Services"), operated by CE.D Global, Riga, Latvia ("CE.D", "we", "us", "our"). CE.D provides a managed driver recruitment and fleet staffing service for EU truck fleet operators. These Terms constitute the entire agreement between CE.D and the Client in respect of the services described on this website. No separate written service agreement is required. By requesting a demo, engaging CE.D's services, or accepting a candidate introduced by CE.D, you confirm that you have read and agree to these Terms.

2. Services

CE.D provides a managed driver recruitment service to EU truck fleet operators ("Clients") as described on this website. The service includes: • Drafting and posting the vacancy across 15+ channels where professional drivers actively search • AI-assisted and human-reviewed applicant screening, conducted in the applicant's native language • Verification of licence class and professional certifications • Reference checks, typically two per shortlisted candidate • Delivery of a CE.D-authored shortlist of pre-vetted candidates, including a one-page candidate summary and confirmed proposed interview slots CE.D acts as an independent recruitment partner. CE.D is not a temporary staffing agency and is not, and does not become, the employer of record for any driver introduced to a Client. CE.D provides only CE.D-authored shortlist summaries to Clients. No raw candidate documents (original CVs, correspondence, or certification files) are transferred to Clients. Shortlists are delivered on a rolling basis until the vacancy is filled or the engagement is terminated. CE.D does not guarantee that a suitable candidate will be found within any specific timeframe.

3. Fees & Payment

Fee structure: CE.D charges a flat fee per successful placement. The fee amount is agreed in writing between CE.D and the Client before CE.D commences work on a vacancy. When payment is due: The fee becomes payable when the Client accepts a candidate — that is, when the Client makes a written offer of employment to a driver introduced by CE.D (the "Acceptance Date"). CE.D will issue an invoice on or shortly after the Acceptance Date. Payment terms: Invoices are due within 14 days of the invoice date, unless otherwise agreed in writing. No upfront charges: CE.D does not charge any upfront fee, platform fee, or subscription. If no candidate is accepted, no fee is payable. Post-acceptance: Once the Client has accepted a candidate, the fee is payable regardless of whether the driver subsequently commences employment, withdraws, or is withdrawn by the Client. CE.D does not offer a refund or replacement guarantee unless expressly agreed in writing before services commence. VAT: Where applicable, VAT or other taxes will be added to the invoice at the rate prevailing at the time of invoicing.

4. Data Protection — Joint-Controller Arrangement

Scope: When CE.D delivers a shortlist to a Client, CE.D and that Client become joint controllers under Article 26 GDPR for the personal data of the shortlisted candidates contained in that delivery. This arrangement takes effect from the moment of shortlist delivery and governs how both parties may use the shared candidate data. CE.D's responsibilities as joint controller: • Collecting candidate data via CE.D's WhatsApp Business account • Conducting AI-assisted and human-reviewed candidate screening • Preparing and delivering CE.D-authored candidate summaries (name, work history, licence class, languages, availability — no raw WhatsApp logs or original documents) • Making a summary of this joint-controller arrangement available to candidates on request, in accordance with Article 26(2) GDPR • Acting as the designated first point of contact for data-subject rights requests from driver applicants (Article 26(3) GDPR); CE.D will forward any request that relates to the Client's processing stage to the Client within 5 business days Client's responsibilities as joint controller: • Establishing an independent lawful basis for processing the candidate data received from CE.D (typically pre-contractual steps under Article 6(1)(b) GDPR, or legitimate interests under Article 6(1)(f) GDPR) • Evaluating shortlisted candidates, conducting interviews, and making all hiring and rejection decisions • Any further processing of candidate data beyond what CE.D has provided • Securely storing candidate data received from CE.D and deleting it once the hiring process for that vacancy concludes • Responding to any data-subject rights requests forwarded by CE.D that relate to the Client's own processing activities • Complying with all applicable data protection legislation in respect of the Client's own processing No onward transfer: The Client agrees not to share CE.D-provided candidate summaries with any third party without CE.D's prior written consent. This section supplements the CE.D Privacy Policy, which sets out the full details of candidate data processing and data-subject rights. The Privacy Policy is available at ced-global.com/en/privacy.

5. Use of the Website

The Website is provided for informational purposes about CE.D's managed driver recruitment service for EU truck fleet operators. You may use the Website for personal, non-commercial purposes only. You agree not to: • copy, reproduce, or distribute any content from the Website without our prior written permission, • use automated tools, bots, or scripts to access or scrape the Website, • attempt to interfere with the Website's security or operation, or • use the Website in any way that is unlawful or harmful to others.

6. Intellectual Property

All content on the Website — including text, branding, logos, design, and visual materials — is the intellectual property of CE.D Global unless otherwise stated. No content may be reproduced, modified, or used for commercial purposes without prior written permission.

7. No Warranties

The Website and its content are provided on an "as is" and "as available" basis. CE.D makes no warranties, express or implied, regarding the accuracy, completeness, or availability of the Website or its content. We reserve the right to modify, suspend, or discontinue the Website at any time without notice.

8. Limitation of Liability

To the fullest extent permitted by applicable law, CE.D Global shall not be liable for any indirect, incidental, consequential, or special damages arising from your use of, or inability to use, the Website.

9. Third-Party Links

The Website may contain links to third-party websites (such as LinkedIn). These links are provided for convenience only. CE.D does not endorse and is not responsible for the content or practices of any third-party websites.

These Terms are governed by and construed in accordance with the laws of the Republic of Latvia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Latvia.
